Summary (plain English)
The short version:
- You can use FusionDocs for what you signed up for — sending and signing documents
- You're responsible for what you upload and send
- We promise the service will work, with normal caveats
- Either of us can end this agreement; we'll give you reasonable time to export your data
- If you cause us legal trouble (uploading illegal content, violating others' rights), you make us whole
- Disputes — see Section 12 for how we handle them
If anything below contradicts the summary, the legal version controls. But tell us, because that's probably a bug.
1. The agreement
These Terms of Service (“Terms”) form a binding agreement between you (the “Customer”) and [LEGAL ENTITY NAME] (“FusionDocs”, “we”, “us”). By creating an account or using the service, you agree to these Terms.
If you're agreeing on behalf of an organization, you represent that you have authority to bind that organization, and “you” and “Customer” mean that organization.
2. Account
You need an account to use FusionDocs. You agree to:
- Provide accurate registration info
- Keep your password secure (we recommend 2FA or SSO)
- Notify us promptly if you suspect unauthorized access
- Not share your account with people outside the seat count you're paying for
You're responsible for activity under your account.
3. The service
FusionDocs is a software service for sending, signing, and storing electronic documents. The specific features available to you depend on your plan.
Service levels
- Free, Team, Business plans: provided “as is”, subject to the warranties and disclaimers in Section 9
- Enterprise plan: governed by a separate Master Services Agreement (MSA) or Order Form; that MSA / Order Form, if any, supersedes these Terms
Changes
We can change, add, or remove features at any time. We give 30 days' notice for material changes affecting features you actively use, except where the change is for security or legal reasons.
4. Your content
Ownership
You own everything you upload to FusionDocs (your “Customer Content”). Signatures and signed documents are yours.
License to us
You grant FusionDocs a limited, non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display your Customer Content solely to provide the service. This license ends when you delete the content or terminate your account, except for:
- Backups, which expire on the schedule in Section 7 of our Privacy Policy
- Records we're legally required to retain (e.g., billing for tax purposes)
Your responsibilities
You're responsible for ensuring:
- You have the legal right to upload everything you upload
- Your use of the service complies with applicable laws (including export controls, sanctions, data protection)
- Signers consent to electronic signing (where required by local law — we capture this consent during signing)
- The documents you send don't violate anyone's rights or contain illegal content
5. Acceptable use
You may not use FusionDocs to:
- Send or upload illegal content
- Violate someone else's rights (IP, privacy, contract)
- Send spam or unsolicited contracts in violation of CAN-SPAM, CASL, GDPR, or equivalent
- Phish, impersonate someone, or commit fraud
- Probe, scan, or attempt to breach our security (see our Responsible Disclosure policy if you've found a vulnerability)
- Reverse engineer, decompile, or copy the service (except where allowed by law)
- Resell, sublicense, or white-label the service (except via our official partner program)
- Use the service to compete with us or to build a competing product
- Use the service in a way that could damage our reputation or operations
We can suspend or terminate accounts that violate this section. We try to give notice first, but we don't have to if violation is ongoing or serious.
6. Payment
Fees
Fees are listed at /pricing. For Enterprise, fees are in your Order Form.
Billing
- Monthly plans: charged in advance each month, recurring until canceled
- Annual plans: charged in advance for the full year
- Add-ons (KBA, ID verification, SMS): charged in arrears
- Currency: USD by default; EUR / GBP available on Business and Enterprise
Failed payments
We'll retry. If we can't collect after 14 days, we may suspend the account until payment is current.
Refunds
- Monthly plans: full refund within 7 days of charge if you've sent fewer than 10 documents that period
- Annual plans: prorated refund anytime for the unused portion (minus any volume discount you received)
- Add-ons: no refunds for consumed services (already-verified KBA, already-sent SMS)
Taxes
Fees don't include taxes. You're responsible for any applicable taxes, except those based on our net income.
7. Term and termination
Term
These Terms apply from when you first use the service until terminated.
Termination by you
You can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period.
Termination by us
We can terminate or suspend your account if:
- You materially breach these Terms and don't fix the breach within 30 days of notice (or immediately for serious or repeated breaches)
- Required by law or court order
- You haven't paid for 30+ days after due date
- The account has been inactive for 24+ months (we'll give 90 days' notice; you'll have a chance to log in to keep it)
What happens on termination
- Your access is shut off
- You have 90 days to export your data via the in-product export tools
- After 90 days, we delete your Customer Content (except as required by Section 4 above)
- Sections 4 (Your Content license to us, ending), 8 (IP), 9 (Disclaimers), 10 (Liability), 12 (Disputes), and 13 (Misc) survive termination
8. Intellectual property
Our IP
FusionDocs, including the software, design, copy, logos, and trademarks, belongs to us. Nothing in these Terms transfers our IP to you.
Your IP
Your Customer Content (and your trademarks and logos used in custom branding) belong to you. See Section 4.
Feedback
If you send us product feedback, ideas, or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation.
9. Warranties and disclaimers
What we promise
- The service will perform substantially as described in our documentation
- We'll maintain SOC 2 Type II controls
- For Business and Enterprise plans: 99.95% monthly uptime SLA (see /sla)
- We won't use your documents to train AI models
What we don't promise
Except as stated above, the service is provided “as is” and “as available”. We disclaim all other warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
We don't warrant that:
- The service will be uninterrupted or error-free at all times
- Signatures will be valid for every conceivable jurisdiction or document type (see /compliance — and consult your lawyer)
- The service is suitable for any specific legal purpose
10. Limitation of liability
To the maximum extent permitted by law:
Neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or loss of business, even if advised of the possibility.
Our total liability to you in any 12-month period is limited to the greater of:
- The amount you paid us in the 12 months before the claim arose, or
- USD $100
These limits don't apply to:
- Your indemnity obligations (Section 11)
- Either party's breach of confidentiality
- Either party's gross negligence or willful misconduct
- Liability that can't be limited under applicable law (e.g., personal injury, fraud)
11. Indemnification
You'll indemnify us for
Claims arising out of:
- Your Customer Content
- Your violation of these Terms
- Your violation of applicable law
- Your violation of someone else's rights (IP, privacy, contract)
We'll indemnify you for
Claims that the service, as provided by us, infringes a third party's U.S. patent, copyright, or trademark.
This doesn't apply if the claim arises from:
- Your Customer Content
- Your modification of the service
- Your combination of the service with something we didn't provide
How indemnification works
The indemnified party must:
- Notify the indemnifying party promptly
- Allow the indemnifying party to control the defense
- Cooperate reasonably
12. Disputes
Governing law
These Terms are governed by the laws of [STATE/COUNTRY], without regard to its conflicts-of-law rules.
Informal resolution
Before filing anything, both parties agree to try to resolve disputes by talking. Email legal@fusiondocs.com and we'll attempt good-faith resolution for 60 days.
Arbitration (U.S. customers, individual users)
If we can't resolve it, U.S. individual disputes go to binding arbitration administered by [ARBITRATION PROVIDER, e.g., AAA] under their commercial rules. Location: [STATE/CITY]. No class actions, no consolidated arbitration.
You can opt out of arbitration within 30 days of accepting these Terms by emailing legal@fusiondocs.com with subject line “Arbitration Opt-Out”.
Courts (business customers, EU customers, opt-outs)
For business customers, EU customers, and customers who've opted out of arbitration, disputes go to the courts of [JURISDICTION]. Both parties consent to that exclusive jurisdiction.
Small claims
Either party can bring qualifying disputes in small claims court instead.
Limitation period
Any claim must be filed within 1 year of when it arose, except where applicable law requires a longer period.
13. Miscellaneous
- Assignment: You can't assign these Terms without our written consent. We can assign in connection with a merger, acquisition, or sale of assets.
- Notices: Notices to us go to legal@fusiondocs.com. Notices to you go to your account email.
- No waiver: If we don't enforce something once, that doesn't mean we waive the right to enforce it later.
- Severability: If one part of these Terms is held unenforceable, the rest still applies.
- Entire agreement: These Terms (plus your Order Form if applicable, plus the Privacy Policy, plus the DPA if signed) are the entire agreement between us about the service.
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control.
- Relationship: We're independent contractors. Nothing here creates a partnership, joint venture, or employment relationship.
- English: These Terms are in English. Translations are for convenience only; the English version controls.
14. Plan-specific terms
Free plan
- Limited to 1 user and 5 documents per month
- No SLA; community support only
- We may discontinue the Free plan with 90 days' notice (existing accounts grandfathered for that period)
Team and Business plans
- Subject to per-user pricing as listed at /pricing
- Email and (Business: phone) support per published response targets
Enterprise plan
Governed by your MSA or Order Form, which supersedes these Terms for conflicts.
